These Promotional Code Terms and Conditions (“Promo Terms”) govern the use of a promotional code (“Promo Code”) issued by uShip, Inc. (“uShip,” “we,” “us,” or “our”). By using a Promo Code, you (“You” or “User”) agree to these Promo Terms in addition to the uShip User Agreement, Privacy Policy, and the uShip Terms and Conditions (“Free” Gift Offers/Promotions) (the “Gift Terms”). These Promo Terms are available to registered uShip users located in the United States.

1. General Terms. Promo Codes may be offered by uShip from time to time at our sole discretion. Each Promo Code is subject to the specific terms communicated at the time the Promo Code is issued, including but not limited to: eligibility requirements, applicable service categories, usage limits, and expiration dates. In the event of a conflict between these general Promo Terms and the specific terms of an individual Promo Code offer, the specific terms of the individual offer shall control.

2. Eligibility. Promo Codes are available only to registered uShip users who: (a) are located in the United States; (b) are at least eighteen (18) years old; (c) have accepted the uShip User Agreement and Privacy Policy; and (d) meet all additional eligibility requirements specified for the applicable Promo Code (which may include specific shipping categories, account status, listing status, or other criteria). Employees of uShip, Inc. and its affiliates are not eligible to use Promo Codes. uShip reserves the right to verify eligibility at the time of redemption and to reject any Promo Code that does not meet the applicable requirements.  Promo Code benefits are guaranteed to all eligible users who successfully redeem a valid Promo Code.

3. Redemption. Promo Codes must be entered in the designated promo code field on the uShip checkout page prior to completing a transaction.  It is the User’s responsibility to enter the Promo Code at the time of checkout.  By clicking "Apply" on the checkout page, the user agrees to these Promo Code Terms.  Promo Code benefits are applied at the time of checkout and are conditional on the transaction being completed. Codes are validated in real time against the applicable eligibility rules.  A code that fails validation (due to expiration, ineligibility, usage limits, or other reasons) will not be applied, and the user will be notified at checkout with a description of why the code was not accepted. Promo Codes cannot be applied retroactively to completed transactions. Only one Promo Code may be applied per transaction unless otherwise specified.

4. Value and Limitations. The value of each Promo Code will be as specified at the time of issuance (e.g., waiver of the uShip shipper fee, percentage discount, or fixed dollar amount). Unless expressly stated otherwise, Fee Waiver Promo Codes waive the uShip service fee (“uShip fee”) only and do not apply to the carrier price, Shipping Protection fee, or any other charges. Promo Codes have no independent cash value, cannot be redeemed for cash, and are not transferable, assignable, or saleable. Promo Codes cannot be combined with other promotions, discounts, or offers unless expressly stated. If the transaction amount is less than the Promo Code value, no credit, cash, or balance will be issued for the difference.

5. Expiration and Usage Limits. Each Promo Code has a specified expiration date, after which it will no longer be valid. Expired Promo Codes cannot be honored, extended, or replaced. Unless otherwise stated, each Promo Code may be redeemed once per user account. Promo Codes are validated against the user’s account at the time of redemption. uShip reserves the right to set and enforce aggregate redemption limits for any Promo Code. Promo Codes may also be subject to aggregate usage limits across all users. Once any applicable limit has been reached, the Promo Code will no longer be accepted. uShip is not responsible for notifying individual users when an aggregate usage limit has been reached.

6. Prohibited Conduct. Promo Codes are intended solely for the individual to whom they are communicated by uShip. The following uses of Promo Codes are prohibited and may result in revocation of the Promo Code benefit, forfeiture of any associated discount, and/or suspension or termination of Your uShip account: (a) sharing, selling, posting, or distributing Promo Codes to individuals other than the intended recipient or through any channel not authorized by uShip, including coupon aggregator websites, social media re-sharing, or sale to third parties; (b) using a Promo Code obtained through unauthorized means; (c) creating multiple accounts to circumvent per-user usage limits; (d) using automated means (bots, scripts, or similar tools) to obtain or redeem Promo Codes; (e) any fraudulent, deceptive, or abusive use of a Promo Code. Promo Codes obtained through any channel not authorized by uShip is prohibited, may be voided at uShip’s sole discretion, and may result in revocation of the benefit and/or account suspension.

7. Cancellation of Promo-Discounted Transactions. If a transaction completed with a Promo Code Fee Waiver is subsequently cancelled or refunded, the refund amount will be calculated based on the amount actually paid by the user (i.e., the post-waiver amount). The Fee Waiver benefit is forfeited upon cancellation and may not be reapplied to a subsequent transaction unless uShip expressly permits reissuance.

8. Modification and Termination. uShip reserves the right, at its sole discretion, to modify, suspend, or terminate any Promo Code or promotional program at any time, for any reason, with or without notice. This includes the right to modify eligibility requirements, value, usage limits, or expiration dates. If a Promo Code is terminated or modified before its stated expiration date, uShip will use reasonable efforts to notify affected users but is not liable for any failure to do so.

9. No Warranty; Limitation of Liability. Promo Codes are provided “as is” without warranty of any kind. uShip does not guarantee that Promo Codes will be available, error-free, or accepted in all circumstances. To the extent permitted by applicable law, uShip’s aggregate liability with respect to any Promo Code shall not exceed the face value of the applicable Promo Code benefit. In no event shall uShip be liable for any indirect, special, incidental, or consequential damages arising from the use or inability to use a Promo Code, even if uShip has been advised of the possibility of such damages.

10. Tax Responsibility. Any tax obligations arising from the use of a Promo Code are the sole responsibility of the user.

11. Void Where Prohibited. Promo Codes are void where prohibited or restricted by applicable federal, state, or local law.

12. Governing Law and Disputes. These Promo Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles, consistent with the uShip User Agreement. To the extent permitted by applicable law, uShip’s decision regarding the interpretation, application, and enforcement of these Promo Terms and any Promo Code offer is final.

13. Relationship to Other Terms. These Promo Terms supplement and are in addition to the uShip User Agreement, Privacy Policy, and Gift Terms. In the event of a conflict between these Promo Terms and the Gift Terms with respect to a Promo Code offer, these Promo Terms shall control. For the avoidance of doubt, Promo Code benefits (including Fee Waivers) are not “Free Gift(s)” or “Prizes” as defined in the Gift Terms and are not subject to the Prizes provisions of the Gift Terms.
