S3 Logistics SHIPMENT MANAGEMENT, TERMS & CONDITIONS AGREEMENT
1. Governing Documents
By tendering this shipment and clicking "I AGREE", the SHIPPER, for itself and its assigns, agrees to these terms and conditions which no agent or employee of the parties may alter. All shipments are subject to this Shipment Management Agreement and to the Bill of Lading that will be issued in connection with each shipment. When you arrange transportation through this website, a bill of lading will be generated for your use in tendering the shipment. The Bill of Lading issued in connection with each shipment is NON-NEGOTIABLE and has been prepared by the SHIPPER, or if by S3 Logistics or agent on SHIPPER's behalf, it shall be deemed, conclusively, to have been prepared by the SHIPPER. In the case of conflict between the terms contained in the Bill of Lading and the terms and conditions of the Shipment Management Agreement, this Shipment Management Agreement shall prevail. All terms and conditions, including but not limited to all the limitations of liability, indemnification provisions and restrictions on types of cargo that may be shipped, shall apply to and for the benefit of S3 Logistics , its officers, managers, members, directors, agents or employees; and its contracted carriers.
2. No Shipments of Waste
In no event may SHIPPER transport refuse, garbage, trash or solid or liquid waste of any kind whatsoever under this Bill of Lading, whether hazardous or non-hazardous, regardless of how such waste or materials are described or labeled, and SHIPPER shall defend, indemnify and hold harmless S3 Logistics , its contract carrier, and all officers, managers, members, directors, agents or employees of either of them from and against any claim, loss, cost, damage or expense whatsoever relating to any violation or attempted violation of this restriction by SHIPPER.
3. Applicable Laws
You are responsible for and warrant your compliance with all applicable laws, rules, and regulations including but not limited to customs laws, import and export laws and government regulation of any country to, from, through or over which your shipment may be carried. You agree to furnish such information and complete and attach to the Bill of Lading such documents as are necessary to comply with such laws, rules and regulations. S3 Logistics assumes no liability to you or any other person for any loss or expense due to your failure to comply with this provision.
4. Shipping Documentation
If you do not complete all the documents required for carriage, or if the documents you submit are not appropriate for the services or destination requested, you hereby instruct us, where permitted by law, to complete, correct or replace the documents for you at your expense. However, S3 Logistics is not obligated to do so. If a substitute form of Bill of Lading is needed to complete delivery of your shipment and S3 Logistics completes that document, the terms of this Shipment Management Agreement will govern. S3 Logistics are not liable to you or any other person for our actions on your behalf under this provision.
5. Limited Liability
Customer understands that all truckload rate quotes and shipment pick up requests are based on spot-market pricing and spot-market equipment availability. Seasonal factors can greatly influence the pricing and availability of requested equipment; and as such no truckload pick-up or delivery times are guaranteed.
Liability on truckload shipments is limited to the limits maintained by the carrier that is contracted by S3 Logistics on behalf of the customer. Current contracted liability limits are up to $1,000,000.00 per occurrence for general liability and $100,000 for cargo liability based upon freight value. Cargo liability shall be limited to actual value of freight.
Customer shall defend, indemnify, and hold harmless S3 Logistics from and against all loss, damage, expense, cost, including reasonable attorney fees, fines, actions and claims for injury to persons (including death) and for damage to property arising out of or in connection with the contracted truckload partner’s failure to comply with the terms of the agreed-upon shipment rate confirmation or the contracted truckload partner’s loading, handling, transportation, unloading or delivery of any shipments made on customer’s behalf.
LESS THAN TRUCKLOAD
THE LIABILITY OF CARRIERS NOT UNDER CONTRACT WITH S3 LOGISTICS AND HANDLING SHIPMENTS THROUGH S3 LOGISTICS IS LIMITED ACCORDING TO THE GOVERNING AGREEMENTS IN EFFECT BETWEEN THE CARRIER AND THE CONTRACTING PARTY. THE LIABILITY OF CARRIERS UNDER CONTRACT DIRECTLY WITH S3 LOGISTICS AND HANDLING SHIPMENTS ARRANGED THROUGH S3 LOGISTICS IS LIMITED TO THE FOLLOWING AMOUNTS FOR EACH INDIVIDUAL CARRIER CONTAINED IN THE SCHEDULE BELOW.

IN NO EVENT SHALL CARRIERS' LIABILITY EXCEED THE DECLARED VALUE OF THE SHIPMENT OR THE AMOUNT OF LOSS OR DAMAGE ACTUALLY SUSTAINED, WHICHEVER IS LOWER.
Articles other-than-new will be subject to a maximum liability of 10 cents per pound. Articles which are subject to released value provisions in the NMFC, and where no released value is provided on the Bill of Lading, or where the freight charges are not affected by the released values, the liability will not exceed the lowest value provided for such article. The maximum Declared Value for shipments containing artworks of any kind, clocks, chronographs, jewelry including costume jewelry, furs, fur trimmed clothing and personal effects, shall be limited to $500.00 per shipment. In the event of loss or damage to a shipment containing glass, carriers’ liability shall be limited to $50.00. Shipments of glass valued in excess of $50.00 will not be accepted and if such are accepted our liability will be limited to $50.00. Glass shipments include, but are not limited to windshields, plate glass and light bulbs. Any Declared Value in excess of the maximums allowed herein is null and void, and the acceptance by S3 Logistics of any shipment with a Declared Value in excess of the allowed maximums does not constitute a waiver of these maximums. Subject to the limitations of liability contained in this Shipping Management Agreement and the Bill of Lading, carriers will only be liable for loss, damage or non-delivery caused by their own negligence. S3 Logistics makes no warranties, express or implied. S3 Logistics is not liable for any loss, miss-delivery or non-delivery caused by the act, default or omission of the Shipper, Consignee, Carrier or any other party who claims interest in the shipment, the nature of the shipment or any defect thereof violation by the Shipper, Consignee or Carrier of any of the terms contained in the Bill of Lading including, but not limited to, improper or insufficient packing, securing, marking or addressing, or failure to observe any of the rules relating to shipments not acceptable for transportation or shipments acceptable only under certain conditions, acts of God, perils of the air, public enemies, public authorities, acts or omissions of Customs or quarantine officials, war, riots, strikes, or other labor disputes, weather conditions or mechanical delay of aircraft or other equipment, compliance with delivery instructions for the Shipper or Consignee, or acts or omission of any person other than S3 Logistics employees or agents. Unless otherwise requested and specifically agreed to by S3 Logistics , S3 Logistics cannot guarantee delivery by a specific time or date, and shall not be liable for any damage due to delay, missed-pickup, late pickup, missdelivery or non-delivery. S3 Logistics reserves the right to route the shipment in whatever manner S3 Logistics deems appropriate and does not guarantee a specific mode or specific carrier. In those cases when SHIPPER requests and S3 Logistics agrees to delivery by a specific time or date and delivery for whatever reason is not accomplished by either the time or date requested, then S3 Logistics shall not be liable for any damage due to delay, missed pickup, late pickup, miss-delivery or non-delivery. IN ANY EVENT, S3 LOGISTICS SHALL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS OR INCOME WHETHER OR NOT S3 LOGISTICS HAD KNOWLEDGE THAT SUCH DAMAGES MIGHT BE INCURRED.
6. Payment Terms
All charges are due and payable ten (10) days from the date of shipment delivery, and any payment which is past due shall be subject to an additional charge at the rate of 1-1/2% per month of the outstanding balance due, or the highest rate of interest permitted by applicable law, whichever is less. By clicking the ‘I accept’ button, the person arranging this shipment understands that payment for all freight charges is due within ten (10) days of the invoice date, and that no other supporting documentation is required or will be supplied by S3 Logistics for payment of freight charges.
For those accounts where no invoicing terms are extended a deposit in an amount equal to the quoted price is required before any performance of service is rendered. Deposits are not payment of freight charges in full; as such Shipper hereby grants to S3 Logistics the authority to levy any and all Accessorial Charges incurred on any particular Bill of Lading; and to satisfy this debt immediately, utilizing the method of deposit, upon the issuance of Notice of Adjustment.
All claims for shipments arranged through the S3 Logistics system must be filed with the carrier handling the freight transportation. The amount of the claim may not be deducted from the transportation charges due S3 Logistics . Receipt of the shipment by the Consignee or the Consignee's agent absent written notice on the delivery receipt or delivery manifest will be deemed as delivered and received in good condition. All claims for loss or damage must be made in writing to the underlying carrier within one hundred and twenty (120) days of the date of acceptance of the shipment by the carrier. Notice of loss or damage must be reported to the underlying carrier within fourteen (14) days from the date of delivery, unless otherwise required by federal or state law, rule or regulation applicable to the shipment. The shipment, its container(s), and packing material must be made available to our contract carriers for inspection at the delivery location. 8. Right to Inspect
All shipments are subject to opening for inspections by our partner carriers and such inspection is at the discretion of our partner carriers.
9. Carrier Lien
The SHIPPER and Consignee shall be liable, jointly and severally, for all unpaid charges payable on account of a shipment, including but not limited to transportation charges, storage fees, all duties, customs assessments, governmental penalties and fines, taxes, and our attorney fees and legal costs, relating to this shipment, and S3 Logistics shall have a lien on the shipment for all sums due to S3 Logistics .
The SHIPPER shall defend, indemnify and hold harmless S3 Logistics , its contract carriers, and each of its officers, members, directors, managers, agents, and employees from and against any and all losses, demands, liabilities, costs, settlements, damages, expenses including legal fees, and claims relating to or arising from breach or alleged breach; or actions or omissions of SHIPPER, its officers, directors, managers, employees or agents relating to the SHIPPER's performance under this Shipping Management Agreement or the Bill of Lading, whether caused by or contributed to by S3 Logistics or any other party indemnified herein, unless caused by the sole negligence of S3 Logistics , including but not limited to claims of misrepresentation relating to the nature of the freight shipped or violations by SHIPPER of any of its agreements applicable to the shipment.
